  • Wholesale Terms
    1. General Terms
      These Wholesale Terms apply to all transactions made through this BtoB site, unless otherwise agreed separately.
      By completing an order, you are deemed to have agreed to these Terms.
    2. Minimum Order Amount
      During the preorder period, a minimum order amount of JPY 300,000, excluding tax, is required.
      For regular wholesale orders, there is no minimum order amount.
    3. Offers and Acceptance
      Offers, orders, and verbal agreements from TSL become official only when confirmed through this BtoB site.
      For in-stock items, the issuance of an invoice may serve as confirmation.
      Images, descriptions, dimensions, weights, and other information shown on this BtoB site are for reference only and are not guaranteed.
    4. Prices
      For customers in Japan, all prices shown on this BtoB site are wholesale prices including Japanese consumption tax. Suggested retail prices are also shown as a reference. Please use the suggested retail prices as a guide when setting your retail prices.
      For customers outside Japan, all prices shown on this BtoB site are excluding tax.
      Prices are listed on this BtoB site. Please note that we do not provide a separate printed price list.
    5. Payment Terms
      Available payment methods are Wise, credit card, and PayPal. Customers in Japan may also pay by domestic bank transfer.
      Invoices will be issued after the order is confirmed. Customers in Japan are requested to make payment to the designated bank account.
      In principle, all invoicing and payments will be processed through this BtoB site.
      Prices and payments are in Japanese yen (JPY), unless otherwise agreed separately.

      Payment for Preorders
      For preorders, the order is officially confirmed by paying a 30% deposit at the time of order, unless otherwise agreed separately.
      The 30% deposit invoice will be issued later. When placing your preorder, please select “Payment on account” or “Guest checkout” and avoid making payment at checkout.
      If the full amount is paid by mistake when placing a preorder, we will cancel and refund the full payment. Any refund fees incurred will be charged to you later.
      If you use a credit card or PayPal, a 4% payment processing fee will be charged later.
      There is no additional processing fee from TSL for payments made by Wise.
      For international shipments, shipping costs will be invoiced separately at a later date.

      Payment for Regular Wholesale Orders
      Regular wholesale orders are confirmed once 100% payment has been completed.
      The checkout process is the same as BtoC orders, and the order is confirmed once payment is completed on this BtoB site.
      For international shipments, shipping costs will be invoiced separately at a later date.
      For shipments within Japan, shipping is free for orders with a wholesale subtotal of JPY 30,000 or more, excluding tax. Hokkaido and Okinawa are excluded.
    6. Backorders
      Out-of-stock items may be reordered through this BtoB site once they are restocked.
    7. Shipping Terms
      For international shipments, shipping costs are the responsibility of the customer. Shipping costs will be invoiced before shipment.
      Regular wholesale items may be shipped together with preorder items. We recommend using this option when possible, as it can help reduce shipping costs and handling time.
      For shipments within Japan, shipping is free for orders with a wholesale subtotal of JPY 30,000 or more, excluding tax. Hokkaido and Okinawa are excluded.
      Depending on the order contents, shipments may be divided into multiple deliveries. In such cases, the product amount and shipping cost for each shipment will be invoiced separately.
      For preorders, the deposit paid in advance will be offset against the final shipment.
    8. Sales Platforms, Image Use & Public Sharing
      Selling our products on third-party platforms such as Amazon, eBay, or similar marketplaces is prohibited without prior approval from TSL.
      Product images and product information shown on this BtoB site are provided for Stockist ordering and sales preparation purposes.
      If Stockists take preorders from their customers, images and product information from this BtoB site may be used only within the Stockist’s own online store or preorder page.
      However, to keep the collection fresh and to protect our designs, please do not post, share, publish, or promote images from this BtoB site on widely distributed public channels such as social media, newsletters, advertisements, blogs, or other promotional media.
      During the preorder period, please also take reasonable care to prevent images from being downloaded, copied, reposted, or shared by customers or third parties.
      Use of images or product information in a way that may lead to unauthorized reselling, copying, or misuse of our designs is prohibited.
    9. Damage, Shortages, and Defective Items
      Please check the contents of your shipment promptly after delivery.
      If there are any shortages or damage, please report them to the delivery carrier at the time of delivery and ask the carrier to note them on the delivery document.
      If you find a defective item, please contact us by email with photos attached. Please keep the item as it is until we review the issue. TSL will check the details and respond accordingly.
    10. Claims and Returns
      Any claims regarding delivery issues, shortages, damage, or defects must be reported within 10 days after delivery.
      We may not be able to respond to claims made after this period.
      Returns or exchanges due to customer preference are not accepted.
    11. Import Regulations
      Compliance with import laws and regulations is the responsibility of the customer.
      Customers are responsible for checking import regulations, customs duties, taxes, and required documents in their own country before placing an order.
    12. Product Notes
      THE SUPERIOR LABOR products are made using natural materials, including vegetable-tanned leather, which we value for its natural texture and character. Please note the following:
      ● Folds or wrinkles may occur depending on storage conditions.
      ● Scratches may occur due to stacking or pressure.
      ● Natural marks, stains, or scratches from the original hide may be visible.
      ● As natural materials are used, color, texture, and appearance may vary from item to item.
      These are not defects, but characteristics of natural materials.
      In order to make careful use of natural resources, we intentionally use leather in its natural condition. We hope you will enjoy these characteristics as part of the individuality of the material.
    13. Final Notes
      TSL is not responsible for typographical errors, price changes due to exchange rate fluctuations, sold-out items, or similar issues.

      These Terms may be changed without prior notice when necessary.
